        These Terms govern your access to and use of APower Flex, a cloud-based ERP platform.
        By registering or using the service you agree to be bound by these Terms.
        Please read them carefully before proceeding.
    

1. Services

APower Flex provides a Software-as-a-Service (SaaS) ERP solution including modules for order management, invoicing, HR, fleet, and more. Access is granted on a per-tenant basis. Features available depend on the subscription plan selected.

2. Subscriptions & Billing

Subscriptions are billed monthly or yearly as selected at signup.
All new accounts receive a 14-day free trial. No charge is made during the trial period.
After the trial, the selected plan is automatically activated and your payment method is charged.
You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
Prices are listed in EUR excluding applicable VAT. EU companies may provide a valid VAT-ID for reverse-charge invoicing.

3. Acceptable Use

You may not use APower Flex for any unlawful or fraudulent purpose.
You are responsible for maintaining the confidentiality of your account credentials.
You may not attempt to gain unauthorized access to other tenants' data.
Automated scraping, reverse engineering, or excessive API requests are prohibited.

4. Data Protection & GDPR

APower Flex processes personal data in accordance with the EU General Data Protection Regulation (GDPR). We act as a data processor on your behalf (as the data controller) for data you enter into the system. Our Data Processing Agreement (DPA) is available on request and is incorporated by reference into these Terms.

Data is stored exclusively on servers located within the European Union.
We do not sell or share your data with third parties except as required to operate the service (e.g., payment processing via Stripe).
You have the right to access, rectify, export, or delete your data at any time. Contact privacy@apowerflex.com.
Data is retained for the duration of your subscription plus 30 days after cancellation, after which it is securely deleted.

5. Intellectual Property

APower Flex and all associated software, branding, and documentation are the intellectual property of AConsultIT OÜ. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service.

6. Service Availability

We target 99.5% monthly uptime (excluding scheduled maintenance). Scheduled maintenance is announced at least 48 hours in advance. In the event of downtime exceeding 4 hours in a calendar month, you may request a pro-rata service credit.

7. Limitation of Liability

To the maximum extent permitted by applicable law, AConsultIT OÜ shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the service. Our total aggregate liability shall not exceed the fees paid by you in the three months preceding the claim.

8. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of the Republic of Estonia. Disputes shall be subject to the exclusive jurisdiction of the courts of the registered office of AConsultIT OÜ.
